1) Agreement to terms

These Terms govern your access to and use of Clinifo’s website and services. By using our website/services, you agree to these Terms and our Privacy Policy.

2) Services

Clinifo provides marketing and automation solutions for clinics, which may include ad campaigns, landing pages/funnels, websites, CRM workflows, appointment tools, messaging, review/reputation tools, analytics, reporting, and related consulting.

3) Your responsibilities

Provide accurate clinic, account, and billing information; keep credentials secure.

Obtain all necessary consents/authorizations for contacts you upload or message.

Do not submit unlawful, infringing, or harmful content; do not abuse, probe, or disrupt the platform.

We implement appropriate safeguards for covered services under the BAA; details are specified in the BAA and/or documentation.

4) Fees, billing, and renewals

Subscriptions are billed in advance at the rate shown at checkout or in your order form; taxes may apply.

Plans renew automatically for successive terms unless canceled per Section 9.

Add-ons (e.g., ad spend, telephony, third-party tools) are billed separately.

Except where required by law or stated otherwise in your order, fees are non-refundable.

5) Free trials & promotions

Trials or promotions are subject to the terms presented and may be modified or discontinued at any time.

6) Third-party services

Our services may integrate third-party platforms (e.g., ad networks, telephony, analytics, payment processors, conferencing tools). Their terms govern your use of those services. We are not responsible for third-party services.

7) Intellectual property

We retain all rights in our software, templates, workflows, and materials. You receive a limited, non-exclusive, revocable license to use them during your subscription.

You own your clinic’s content, logos, and data. You grant Clinifo a limited license to use them solely to provide the services.

8) Term, cancellation, and termination

You may cancel renewals effective at the end of your current term via your account or by emailing [email protected] (subject line: “Cancel”).

We may suspend or terminate for breach, non-payment, suspected abuse, or risk to the platform.

Upon termination, access ends. We may retain data as required by law or to resolve disputes; export/deletion options are available per plan and law.

9) Confidentiality

Each party may access the other’s non-public information. Both parties will use reasonable care to protect it and use it only to perform obligations under these Terms.

10) Data protection

We process personal data in accordance with our Privacy Policy and applicable law. If we process personal data on your behalf, our Data Processing Addendum (DPA) applies upon request and forms part of your agreement when executed.

11) Disclaimers

Except as expressly stated, the services and website are provided “as is” and “as available.” We do not guarantee specific outcomes (e.g., a particular number of patients or revenue), as results depend on many factors outside our control.

12) Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits/revenue, even if advised of the possibility. Each party’s total aggregate liability arising out of or related to the services will not exceed the amounts paid to Clinifo in the twelve (12) months preceding the event giving rise to the claim.

13) Indemnification

You will defend and indemnify Clinifo against claims arising from: (a) your unlawful use of the services; (b) your content or data; or (c) your breach of these Terms or applicable laws.

14) Governing law & disputes

These Terms are governed by the laws of [State/Country], without regard to conflict-of-law rules. The courts located in [Venue City/State] will have exclusive jurisdiction, unless the parties agree to binding arbitration in [Arbitration City/State].

15) Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control.

16) Changes to Terms

We may update these Terms. The updated version is effective when posted with a new effective date.
